Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SportsTechX Intelligence Platform and related services (the "Service") operated by SportsTechX GmbH ("SportsTechX", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Age Requirement: You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older.

SportsTechX provides a comprehensive intelligence platform for the sports technology industry, including:

• Access to our database of sportstech startups and companies
• Deal-flow tracking and investment monitoring
• M&A deals and market analytics
• Industry reports and research publications
• AI-powered search and analysis tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes to core features.

We offer multiple subscription tiers with varying levels of access:

• Explore (Free): Limited access to basic features
• Raise: Enhanced access with additional features
• Scout: Full platform access with premium features

We may offer free trials for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. We will notify you before the trial period expires.

• Paid subscriptions are billed in advance on a monthly or annual basis
• All payments are processed securely through Stripe, our third-party payment processor
• By subscribing, you authorize us to charge your payment method for the applicable fees
• Annual subscriptions are billed once per year and provide access for 12 months from the billing date
• Monthly subscriptions are billed on the same day each month
• All fees are exclusive of applicable taxes, which will be added to your invoice where required by law

We may change our subscription fees at any time. We will provide paying subscribers with at least 30 days advance notice of any price changes by email or through the Service. Price changes will take effect at the start of your next billing cycle after the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

If a payment fails, our payment processor will notify you and automatically retry the payment according to their retry schedule. If payment continues to fail after multiple attempts, we may suspend or terminate your access to the Service. You are responsible for providing current, complete, and accurate billing information and updating it as necessary.

• You may cancel your subscription at any time through your account settings or by contacting support
• Upon cancellation, you will retain access until the end of your current billing period
• No refunds will be provided for partial subscription periods, except as required by law or at our sole discretion
• If you cancel during a free trial, your access will end immediately and you will not be charged

As a user of our Service, you agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials and not share your login
• Use the Service only for lawful purposes and in accordance with these Terms
• Not attempt to gain unauthorized access to any part of the Service
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Keep your account information current and accurate
• Comply with any applicable third-party terms, including those of our payment processor Stripe

You may NOT use the Service to:

• Scrape, crawl, or use automated systems to extract data from the platform
• Redistribute, resell, or commercially exploit our data without authorization
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to reverse engineer or decompile any part of the Service
• Upload malicious code or content that violates the rights of others
• Use the Service for any illegal or unauthorized purpose
• Share your account credentials with others
• Create multiple accounts to circumvent restrictions
• Violate any applicable local, state, national, or international law
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity

The Service and its original content, features, and functionality are owned by SportsTechX and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you submit to the Service (such as notes, saved searches, or annotations). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute that content solely as necessary to provide and improve the Service. This license terminates when you delete your content or account, except for content that has been shared with others or where continued storage is required by law.

You represent and warrant that you own or have the necessary rights to any content you submit and that your content does not violate any third-party rights or applicable laws.

Our database content is provided for your personal or internal business use only. You may not:

• Reproduce or distribute our data without our prior written consent
• Create derivative works from our data
• Use our data to build competing products or services
• Share access credentials with unauthorized users
• Copy, download, or store significant portions of our database

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and processing practices.

We process your personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Under GDPR, you have the following rights:

• Right of access to your personal data
• Right to rectification of inaccurate data
• Right to erasure (right to be forgotten)

• Right to restrict or object to processing
• Right to withdraw consent

These third-party services are governed by their own terms of service and privacy policies. We are not responsible for the practices or content of third-party services. Your use of third-party services is at your own risk, and you should review their terms and policies before use.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We make no warranties, expressed or implied, regarding:

• The Service's reliability, availability, or uptime
• The accuracy, completeness, or timeliness of any information
• The Service meeting your specific requirements or expectations
• The Service being uninterrupted, secure, or error-free
• Any defects or errors being corrected

While we strive to maintain accurate and up-to-date information, we do not guarantee the accuracy, completeness, or timeliness of any data in our database. Information should be independently verified before making business or investment decisions. We are not responsible for any decisions made based on information provided through the Service.

To the maximum extent permitted by applicable law, SportsTechX, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your reliance on information provided through the Service
• Service interruptions, data loss, or system failures
• Unauthorized access to or alteration of your data
• Any other matter relating to the Service

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us for the Service in the 12 months preceding the claim, or €100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless SportsTechX and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Service
• Your violation of any applicable laws or regulations

You may delete your account at any time through the account settings or by contacting our support team at hello@sportstechx.com. Upon termination, your right to access and use the Service will immediately cease.

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if you:

• Violate these Terms or our Privacy Policy
• Engage in activity that may harm the Service, our business, or other users
• Fail to pay applicable fees when due
• Provide false, inaccurate, or misleading information
• Engage in fraudulent or illegal activities
• Create risk or possible legal exposure for us

Upon termination of your account:

• Your right to use the Service will immediately cease
• We may delete your account data in accordance with our Privacy Policy and data retention practices
• All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability
• You will not be entitled to any refund of fees paid prior to termination

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@sportstechx.com. We will attempt to resolve the dispute informally within 60 days. If we are unable to resolve the dispute within 60 days, either party may pursue formal dispute resolution.

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of Berlin, Germany. You consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.

The European Commission provides an online dispute resolution platform, which you can access at https://ec.europa.eu/consumers/odr. We are not obliged and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of the Service.
